ISQ World (First Legion Consulting Pvt. Ltd.) End User License Agreement

BY USING ANY PRODUCTS, SOFTWARE OR IMAGES FROM FIRST LEGION CONSULTING, YOU ACCEPT THESE TERMS. IF YOU DO NOT ACCEPT THEM, DO NOT USE THE PRODUCTS, SOFTWARE OR IMAGES. INSTEAD, RETURN THEM FOR A REFUND OR CREDIT. IF YOU COMPLY WITH THESE LICENSE TERMS, YOU HAVE THE RIGHTS BELOW FOR EACH LICENSE YOU ACQUIRE. DEFINITIONS

“You”, “you” or “Client” means you or, if you are accepting on behalf of your employer or member account entity, then “you” means that employer or entity and affiliates. “ISQ WORLD” or “we” means First Legion Consulting Pvt. Ltd., a developer of the Products and operator of the web site located at www.isqworld.com (the “Site”). ISQ WORLD is the propert of First Legion Consulting Pvt. Ltd.

“Product” or “Products” means any computer programs, software, associated documentation, photographic image, illustration, Flash file, film or video footage, PDF file, or any other materials developed by ISQ WORLD, or are acquired directly or indirectly from ISQ WORLD, or are downloaded from the site.

OWNERSHIP OF SOFTWARE

You acknowledge and agree that all of the Products are owned exclusively by ISQ WORLD. You agree that the price paid by you for the Product is a license fee granting you only the rights set forth in this License Agreement.

LICENSE

ISQ WORLD grants to you, and you accept, a limited, non-exclusive and revocable license to use the Product, in its original, un-modified form. You agree to use the product only as authorized in this License Agreement. This License Agreement does not convey to you any ownership rights or any other interest in the product.

SCOPE OF LICENSE

A valid license must be purchased for using this Product.

A valid license is granted for a pre-defined period when you choose to the Product in any form or manner, including but not limited to a subscription model (the Product is hosted in internet and access is provided for using the product to you) or an installation model (the Product is installed in a computer and used by you). You must comply with any technical limitations in the Product that only allow you to use it in certain ways. You may not make any changes or modifications to the Product, and you may not translate, decompile, disassemble, or otherwise reverse engineer the Product. You agree not to modify, alter, tamper with, destroy or remove any notifications of copyright, trademark, service mark or other designations and attributions of ownership or right. You may not resell, lend, rent, lease, derive profit, or sublicense to others for any purpose the Product, any copy of the Product, or any materials derived from the Products. You agree to use all reasonable efforts to protect the Product from unauthorized use, modification, reproduction, distribution or publication. You agree not to publish the Product for others to copy. You agree to not use the Product in any way that is against the law. You are not permitted to make any uses or copies of the Product that are not specifically authorized by the terms of this License Agreement, and ISQ WORLD reserves all rights that are not expressly granted to you. Your adherence to this License Agreement will allow ISQ WORLD to continue developing innovative and useful products and providing a high level of customer service and support.

TERM

This license will become effective on the date you acquire the Product and will remain in force until terminated. You may terminate the license at any time by removing the Product from your computer or in case of a subscription model by discontinuing access and destroying the original Product and all copies. This license will automatically terminate if you breach any of the terms or conditions set out in this License Agreement. You agree to remove the Product from your computer, and either to destroy the original Product and all copies of them or to return the Product to ISQ WORLD, upon termination of this license for any reason.

TRANSFER

Provided the Product has not been installed on a computer or used in any other permitted manner by you, then you may transfer your license of the Product to another party by transferring the original Product and all applicable documentation, including the original of this License Agreement, to the recipient, who agrees to the terms of this Agreement. All other copies of the Product must be deleted and/or destroyed. Any transfer of possession of the Product terminates your license and all associated benefits under this License Agreement. You must notify ISQ WORLD in writing or by email of such transfer.

You may not transfer your license to another party once you have installed the Product on a computer or used them in any other permitted manner.

You may not transfer your license to another party by selling or transferring ownership of the computer on which the Product is installed. The Product must first be uninstalled from any computer on which the Product is installed before transferring ownership of the computer.
Your Product license is terminated upon sale or transfer of the computer on which the Product is installed.

You may not install the Product on another computer even if the Product is removed from the original computer on which it was installed, unless the new installation is done on a computer which is replacing the original computer. The original computer must be taken out of service.

OTHER TERMS AND CONDITIONS

You agree to install the Product ONLY on a computer that you own or on a computer which you have been given explicit permission to install. You agree to NOT install this Product on any computer you do not own or on any computer you have not been given explicit permission to install.

You agree to use the product only for information security and other educational or awareness purposes. You are expolicitly prohibited to use this product in any form or manner whatsoever that does not comply with legal,ethical or other applicable legislation. This covers, but is not limited to, using the Product for storing, processing or transmitting unethical and inappropriate content such as pornography, violence, racial discrimination and other inappropriate content.

ISQ WORLD specifically disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. ISQ WORLD does not provide any warranty as to the operation of the Product or its fitness for any particular application, use or purpose.

APPLICABLE LAW

This agreement is governed by the laws of India. The laws of India governs the interpretation of this agreement and applies to claims for breach of it, regardless of conflict of laws principles.

ENTIRE AGREEMENT

This agreement (including the warranty below), any addendum or amendment included with the Product, and the terms for supplements, updates, Internet-based services and support services that you use, are the entire agreement for the Product and support services.

LEGAL EFFECT

This agreement describes certain legal rights. You may have other rights under the laws of your state or country. You may also have rights with respect to the party from whom you acquired the Product. This agreement does not change your rights under the laws of your state or country if the laws of your state or country do not permit it to do so.

LIMITATIONS OF LIABILITY AND REMEDIES

In no event shall ISQ WORLD or its licensors be liable for any loss of profit or any other damages, including but not limited to lot profits, special, direct, incidental, consequential, punitive or other damages, even if ISQ WORLD or its licensors are advised, in advance, of the possibility of such damages. In no event shall the liability of ISQ WORLD or its licensors exceed the purchase price paid for the Product.

ISQ WORLD LIMITED WARRANTY

• LIMITED WARRANTY. If you follow the instructions, the Product will perform substantially as described in the ISQ WORLD materials that you receive in or with the Product.
• TERM OF WARRANTY; WARRANTY RECIPIENT; LENGTH OF ANY IMPLIED WARRANTIES. THE LIMITED WARRANTY COVERS THE SOFTWARE FOR ONE YEAR AFTER ACQUIRED BY THE FIRST USER. IF YOU RECEIVE SUPPLEMENTS, UPDATES, OR REPLACEMENT SOFTWARE DURING THAT YEAR, THEY WILL BE COVERED FOR THE REMAINDER OF THE WARRANTY OR 30 DAYS, WHICHEVER IS LONGER. If the first user transfers the Product, the remainder of the warranty will apply to the recipient.TO THE EXTENT PERMITTED BY LAW, ANY IMPLIED WARRANTIES, GUARANTEES OR CONDITIONS LAST ONLY DURING THE TERM OF THE LIMITED WARRANTY. Some states do not allow limitations on how long an implied warranty lasts, so these limitations may not apply to you. They also might not apply to you because some countries may not allow limitations on how long an implied warranty, guarantee or condition lasts.
• EXCLUSIONS FROM WARRANTY. This warranty does not cover problems caused by your acts (or failures to act), the acts of others, or events beyond ISQ WORLD’s reasonable control.
• REMEDY FOR BREACH OF WARRANTY. ISQ WORLD WILL REPAIR OR REPLACE THE SOFTWARE AT NO CHARGE. IF ISQ WORLD CANNOT REPAIR OR REPLACE IT, ISQ WORLD WILL REFUND THE AMOUNT SHOWN ON YOUR RECEIPT FOR THE SOFTWARE. IT WILL ALSO REPAIR OR REPLACE SUPPLEMENTS, UPDATES AND REPLACEMENT SOFTWARE AT NO CHARGE. IF ISQ WORLD CANNOT REPAIR OR REPLACE THEM, IT WILL REFUND THE AMOUNT YOU PAID FOR THEM, IF ANY. YOU MUST UNINSTALL THE SOFTWARE AND RETURN ANY MEDIA AND OTHER ASSOCIATED MATERIALS TO ISQ WORLD WITH PROOF OF PURCHASE TO OBTAIN A REFUND. THESE ARE YOUR ONLY REMEDIES FOR BREACH OF THE LIMITED WARRANTY.
• CONSUMER RIGHTS NOT AFFECTED. YOU MAY HAVE ADDITIONAL CONSUMER RIGHTS UNDER YOUR LOCAL LAWS, WHICH THIS AGREEMENT CANNOT CHANGE.
• NO OTHER WARRANTIES. THE LIMITED WARRANTY IS THE ONLY DIRECT WARRANTY FROM ISQ WORLD. ISQ WORLD GIVES NO OTHER EXPRESS WARRANTIES, GUARANTEES OR CONDITIONS. WHERE ALLOWED BY YOUR LOCAL LAWS, ISQ WORLD EXCLUDES IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. If your local laws give you any implied warranties, guarantees or conditions, despite this exclusion, your remedies are described in the Remedy for Breach of Warranty clause above, to the extent permitted by your local laws.
• LIMITATION ON AND EXCLUSION OF DAMAGES FOR BREACH OF WARRANTY. THE LIMITATION ON AND EXCLUSION OF DAMAGES CLAUSE ABOVE APPLIES TO BREACHES OF THIS LIMITED WARRANTY.

THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE. YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM COUNTRY TO COUNTRY.
